1Services

2Fees and invoicing

4Revisions and additional work
2 rounds of revision are included. Work beyond the scope in clause 1, or beyond the included revisions, is quoted and agreed in writing before it begins.
5Intellectual property
On receipt of payment in full, [Contractor] assigns to the Client all intellectual property rights in the final deliverables. [Contractor] retains ownership of any pre-existing materials, tools and know-how used to produce them, and may include the work in a portfolio unless the Client requests otherwise in writing.
6Term and termination
This Agreement runs until the Services are complete. Either party may end it with written notice. If the Client ends it other than for the Contractor's material breach, the Client pays for work done to date plus a cancellation fee of 40% of the remaining balance.
7Confidentiality
Each party will keep confidential any non-public information it receives from the other in connection with this Agreement, and will use it only to perform this Agreement. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
8Independent contractor
[Contractor] is an independent contractor, not an employee, partner or agent of the Client. [Contractor] is responsible for its own taxes, insurance and equipment, and controls how the work is carried out.
9Limitation of liability
Neither party is liable to the other for indirect or consequential loss. Each party's total liability under this Agreement is capped at the total fees paid or payable under it.
10Governing law
This Agreement is governed by the laws of [governing law / jurisdiction], and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
11Entire agreement
This Agreement is the entire agreement between the parties on its subject matter and replaces any earlier discussions. Any change must be in writing and signed by both parties.

An NDA covers the conversation before there is a deal: pricing, process, anything you would not want repeated. The service or contractor agreement covers the work itself once you have agreed to do it. Many engagements use both, signed a few weeks apart.

What makes a contract enforceable?
An offer, acceptance of it, something of value exchanged both ways, and both parties intending to be legally bound. Putting it in writing with signatures is how you prove those things later. Enforceability also depends on the terms being lawful and clear, and on local rules for your type of work, so for anything high value or unusual, have a lawyer review it.
Is this contract generator really free?

Is this legal advice?
No. The clauses are a reasonable starting template that covers what most small engagements need. Read it against your own situation, and for anything high value or unusual, have a lawyer check it before you rely on it.
What is the difference between a mutual and a one-way NDA?
A mutual NDA protects information both sides share, which is normal when two businesses are exploring working together. A one-way NDA protects information only one side discloses, which fits when you are showing something to a potential client or contractor and they are not showing you anything sensitive back.
Service agreement or contractor agreement?
They are almost the same document. The contractor version adds wording that makes the independent-contractor relationship explicit: no employee benefits, the contractor handles their own taxes, and they control how the work gets done. Use it when that distinction matters for tax or classification reasons.
Does a typed name count as a signature?
For most everyday business contracts, yes, a typed or drawn signature with a clear intent to be bound is enough. What matters more is a record of who signed and when. That record is what StitchInvoice adds when you send the document from an account.
