Terms of Service

Introduction and agreement

These Terms of Service govern your access to and use of StitchInvoice — the website, application, client portals, document tools, and payment features (together, the "Service"). Creating an account, purchasing a subscription, or otherwise using the Service means you agree to these Terms.

If you use StitchInvoice on behalf of a company or other organization, you confirm you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

Eligibility

You must be legally capable of entering into a binding agreement and must comply with all laws that apply to your use of the Service. StitchInvoice is built for businesses, self-employed professionals, freelancers, and other organizations managing documents, client workflows, and payments.

Your account

You are responsible for providing accurate account information, keeping your login credentials secure, and for all activity that happens under your account. Sign-in is handled by Clerk, a dedicated authentication provider — StitchInvoice does not store your password directly.

If you believe your account has been compromised, contact us promptly. Do not use an account to impersonate another person or organization.

What StitchInvoice provides

Depending on your plan, the Service may include:

• Invoices, quotes, estimates, receipts, and credit notes
• Document templates and saved products or services
• Client records and requirements memory
• Secure client portals with document approval or rejection
• Online payment collection through a connected Stripe account
• Payment reminders and recurring documents
• Autopilot automation and Payment Intelligence
• Reporting and other workflow features we introduce over time

Your content and customer data

You retain ownership of the business information, client information, and documents you create or upload through StitchInvoice ("your content"). You grant StitchInvoice only the rights necessary to host, process, transmit, render, and otherwise handle your content to provide the Service — generating PDFs, sending emails, running automation, and similar operations.

You are responsible for having the right to use any information you enter about your clients, including names, email addresses, postal addresses, and payment-related details. StitchInvoice does not claim ownership of your business content.

Client-facing documents and portals

You can send clients a secure link to view a document and, depending on the document type, approve or reject it, pay it, or view a receipt, without the recipient needing a StitchInvoice account.

You are responsible for sending links to the correct recipient and for the accuracy and legality of the documents you send.

Payments

Payment processing is provided by third-party providers, primarily Stripe. Where you connect your own Stripe account, payments your clients make on an invoice are processed directly for your connected account — your business is the merchant of record, not StitchInvoice. StitchInvoice does not currently take a percentage fee from client invoice payments made this way.

StitchInvoice is not a bank, payment institution, escrow service, lender, or financial adviser. Payment availability, settlement, disputes, chargebacks, and payouts may also be governed by Stripe’s own terms. StitchInvoice does not receive or store full card numbers — card details are entered directly on Stripe’s hosted payment page.

Subscriptions and billing

StitchInvoice currently offers a free Starter plan and three paid plans: Professional ($19/month or $190/year), Pro Autopilot ($39/month or $390/year), and Studio ($79/month or $790/year). Annual billing represents two months free compared with paying monthly.

Paid subscriptions renew automatically at the end of each billing period until cancelled, using the payment method on file. Prices and included features are shown before you complete a purchase. If you switch between plans or billing intervals, the change takes effect immediately and Stripe automatically prorates the difference on your account. Price changes to an existing subscription apply no earlier than your next renewal, with notice where required.

Free plan

The Starter plan is free. Feature limits associated with the free plan can change, and we don’t promise that every free feature will remain available indefinitely.

Cancelling your subscription

You can cancel a paid subscription at any time through your account’s billing settings. Cancelling stops the next renewal; your paid access continues through the end of the billing period you’ve already paid for. Refunds are covered separately in our Refund & Cancellation Policy.

Acceptable use

You may not use StitchInvoice to:

• Break the law, commit fraud, or send phishing or deceptive communications
• Create knowingly fraudulent invoices or unauthorized payment requests
• Impersonate another person or organization
• Distribute malware or interfere with the Service or its security
• Send spam or abusive communications
• Infringe intellectual-property or privacy rights
• Bypass plan limits, security measures, or access controls, or scrape or attack the Service

Not accounting, tax, or legal advice

StitchInvoice is software, not an accountant, tax adviser, lawyer, or financial adviser. You remain responsible for document accuracy, invoice numbering, taxes, accounting treatment, legal compliance, and recordkeeping.

Features like Payability Check, Payment Intelligence, and Smart Terms are assistive recommendations built from rules and the data in your own account, not AI-driven decisions and not professional advice. They may be incomplete or wrong, and you’re responsible for deciding whether to act on them.

Automated features

If you enable Autopilot or recurring documents, StitchInvoice takes actions based on the rules and information in your account, such as sending reminders or preparing draft documents. You’re responsible for reviewing your automation settings and the contact details it relies on, and for disabling it if you no longer want it running.

Third-party services

StitchInvoice relies on third-party providers for parts of the Service, including Stripe for payments, Clerk for authentication, Supabase for database infrastructure, Resend for email delivery, and Vercel for hosting. Their own terms may apply to services they provide directly to you, such as a Stripe connected account. StitchInvoice is not responsible for outages or actions solely controlled by these providers.

Intellectual property

StitchInvoice, its software, branding, design, and platform are protected by applicable intellectual-property laws. These Terms do not transfer ownership of that intellectual property to you, and do not transfer ownership of your content to StitchInvoice.

Feedback

If you send us voluntary feedback or suggestions, we may use them to improve StitchInvoice without owing you anything for it. This doesn’t give us any rights to your unrelated content.

Availability and changes

We work to keep StitchInvoice reliable, but we don’t guarantee uninterrupted or error-free availability. We may maintain, improve, replace, or discontinue features when reasonably necessary.

Suspension and termination

We may restrict or suspend access where reasonably necessary to address a material breach of these Terms, fraud, security threats, non-payment, or legal requirements, with a reasonable opportunity to fix the problem where appropriate.

Closing your account doesn’t require the instant deletion of every record — some information may remain in backups or where we’re required to keep it.

Disclaimer

To the extent permitted by law, the Service is provided on an "as available" basis. We don’t guarantee that a client will approve or pay a document, or any particular business outcome. Nothing here excludes rights that can’t legally be excluded.

Limitation of liability

To the maximum extent permitted by applicable law, StitchInvoice is not liable for indirect, incidental, or consequential loss arising from use of the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

Indemnity

If you use StitchInvoice for a business, you’re responsible for claims arising from unlawful content you submit or your misuse of the Service, to the extent permitted by applicable law.

Changes to these Terms

We may update these Terms as the Service or applicable requirements change. The "Last updated" date above reflects the current version, and we’ll provide reasonable notice of material changes where required.
